Terms of Use

1. Agreement and service scope

These Terms govern FreightPilot, operated by ZEDA's Group LTD. If using it for an organization, you must have authority to act for it. A separately agreed service agreement, order form or data-processing agreement governs its stated subject and takes priority in a conflict. Rights that cannot legally be excluded remain unaffected.

Services include Rate Calculator, Oilfields TMS, Fracing TMS, Field Crew, Driver App, OTR, Loadboards and enabled fleet, communication, AI and billing features. Availability depends on access, configuration and deployment. Demos, estimates, roadmap descriptions and plan options do not guarantee production availability or a complete end-to-end workflow.

2. Accounts and organizational access

Provide accurate information, protect credentials, grant appropriate permissions and promptly remove unauthorized access. Products and driver/field workflows can have separate sign-in and membership rules. Do not share another person's credentials or bypass organization, role, job or connection boundaries.

Administrators are responsible for invitations, company connections, driver sharing, crew assignments and integrations. Review scope before connecting or publishing. Revocation affects future authorized access but does not necessarily recall exports, prior messages or previously shared records.

3. Commercial terms and subscriptions

Fees, quantities, trials, renewals, taxes and included services are those expressly agreed in your order or enabled checkout. Plan cards alone do not activate subscriptions. Self-service checkout is currently paused; contact support to arrange or change real access.

Where recurring billing is expressly agreed, the agreed cycle and cancellation terms apply. Contact support if self-service cancellation or adjustment is unavailable. Refunds and credits follow your agreement and mandatory law; these Terms do not create an automatic no-refund rule. Stopping use or deleting an app does not itself cancel an agreed subscription.

4. Data ownership and responsibilities

You retain rights in submitted data and documents. You authorize processing and display needed to provide, secure and support the service under your instructions and the Privacy Policy, including authorized sharing. This does not transfer ownership of your operational data to FreightPilot.

You must have the rights and lawful authority to submit driver/staff information, locations, messages, BOLs, images, fuel records and other content. Ensure accuracy and respect confidentiality and intellectual property. Keep independent records required by law or contract. Select appropriate recipients and protect exported or shared reports.

5. Dispatch, automation and field work

You control operational decisions, staffing, equipment suitability and settings for automatic orders, releases, allocation, timers, geofences and driver calls. Check organization, customer, region, well, product and date range before applying changes. Forecasts and sand/stage estimates do not prove that field work occurred or that deadlines can be met.

GPS, device permissions, stale records, network and provider delays affect events, automated transitions and alerts. Push and messages are not guaranteed to arrive immediately. Maintain dispatch supervision and alternative communication for urgent matters. FreightPilot is not an emergency service, carrier, broker acting on your behalf or substitute for required transportation and workplace procedures.

6. Rates, billing and corrections

Rate rules, bulk schedules, effective dates, Since Start, FSC, bonuses and Net/Gross settings can change amounts for matching eligible records. Review save results and totals. Locks and audit controls do not certify accuracy, payment, tax treatment or compliance. Review failures or partial operations before retrying; saving a rule does not by itself prove every historical record changed.

Mileage, weight, fuel attribution, rentals, maintenance, detention and deductions depend on entered records and rules. Auto Billing and exports support preparation and recordkeeping; they do not independently collect payments, file taxes or certify payroll. Authorized corrections and unlocks must follow organizational procedures.

7. Driver and field devices

Use the app only when safe. Drivers must not use it while driving in a manner that violates law or creates distraction. Organizations must inform workers about monitoring and obtain required permissions or another lawful basis. Device permission alone does not establish lawful workplace monitoring.

Supported native apps can track location in the background while enabled; browser/PWA behavior and alerts vary. Camera, microphone, location and notification permissions can be managed on the device. Disabling them may limit corresponding features.

8. AI, maps and estimates

AI answers, document extraction, transcription, speech, forecasts and rate estimates can be inaccurate or incomplete. Review original documents and records. Do not use them as the sole basis for consequential financial, employment, safety or compliance decisions.

Directions do not assure truck clearance, legal weight, hazardous-material permission, private-site access, road conditions or hours-of-service compliance. Verify restrictions, permits and customer instructions independently. FreightPilot does not provide legal, tax or professional safety advice.

9. Acceptable use and providers

Do not access information without authorization, interfere with security or availability, submit unlawful content, distribute malware, misuse credentials or violate applicable law. Do not copy, scrape or reverse engineer proprietary parts except where authorized or permitted by law. Report suspected security issues privately to support.

Features rely on database, AI, maps, weather, fuel, payment, hosting and device providers. Their availability and terms can affect those features. You are responsible for third-party accounts and permissions you supply. This does not remove FreightPilot's responsibility under applicable law or its agreement with you.

10. Software rights

FreightPilot branding, software and original materials belong to ZEDA's Group LTD or its licensors. Subject to your agreement and these Terms, you may use the services for authorized business activities. Third-party and open-source components retain their licenses. Permission to use the service does not transfer software or branding ownership.

11. Availability and account closure

Maintenance, outages and updates may affect access. No uninterrupted availability or service level is promised unless expressly agreed. We may restrict access for non-payment, misuse, security threats or legal obligations, with notice where reasonably practicable and legally required. Material changes to paid services remain subject to the agreement and law.

You may stop using the service and request account closure, subject to agreed subscription obligations. Contact support about permitted exports before closure. Closure does not automatically erase required operational history, another organization's records or backups. Retention and privacy requests follow the Privacy Policy and applicable data-processing terms.

12. Warranties and responsibility

Except for express commitments and rights that cannot be excluded, the service is supplied as available without a guarantee that estimates are accurate, every specialized requirement is met, or operation is uninterrupted or error-free. You remain responsible for reviewing operational decisions and records.

To the extent permitted by applicable law and subject to any separate agreement, we exclude liability for indirect or consequential business losses arising from service use. Nothing excludes or limits liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or any liability or statutory remedy that cannot lawfully be excluded or limited. These Terms do not impose a new monetary liability cap.

13. Updates, questions and disputes

The date above identifies this revision. Material changes will be communicated as required by law or agreement; changes do not retrospectively remove accrued rights. Contact support@freightpilotapp.io about concerns or disputes. An expressly agreed governing-law or venue provision remains applicable, subject to mandatory law. These Terms do not add compulsory arbitration or waive non-waivable rights.
